Priyadarshini Handlooms.com is a Social Marketplace for Co-operatives and Community based Producer Organizations (Example, Producer Companies, Self-help groups - SHG) and other micro and small enterprises to list and sell their produce online, and henceforth referred to as "Priyadarshini Handlooms Platform". The platform consists of various business services including Priyadarshini Handlooms Directory, Priyadarshini Handlooms Listings, Priyadarshini Handlooms eCommerce. The platform is owned and operated by Priyadarshini Handlooms Solutions and Services Private Limited, Bangalore, India here after referred as “Priyadarshini Handlooms entity” or “Priyadarshini Handlooms”.
PLEASE READ CAREFULLY THE FOLLOWING TERMS OF USE. BY REGISTERING FOR, ACCESSING, SELLING, BUYING, BROWSING, DOWNLOADING FROM, UPLOADING TO OR USING THE Priyadarshini Handlooms PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING ANY ADDITIONAL GUIDELINES AND FUTURE MODIFICATIONS (COLLECTIVELY, THE "TERMS"). IF AT ANY TIME YOU DO NOT AGREE TO THESE TERMS, PLEASE IMMEDIATELY TERMINATE YOUR USE OF THE Priyadarshini Handlooms PLATFORM.
The following Terms of Use for the Priyadarshini Handlooms Platform is a legal binding agreement between Priyadarshini Handlooms.com entity, You ("You”, “Your” or collectively "Users") comprising of Producer organization users registered on the Priyadarshini Handlooms platform, members of these organizations, Buyers, Suppliers and all other users using the Priyadarshini Handlooms Platform.
Unless explicitly stated otherwise, the following Terms and Conditions are applicable for all the users of the Priyadarshini Handlooms platform which includes Producer organization Users, Members, Buyers and Suppliers. All references to users using terms such as “You” and/or “Users” shall be applicable to all the users of the Priyadarshini Handlooms platform.
You may not use the Priyadarshini Handlooms Platform and may not accept the Terms if (a) you are not 18 years old or of legal age to form a binding agreement with Priyadarshini Handlooms entity, or (b) you are not permitted to use any Services under the laws of Republic of India or other countries / regions including the country / region in which you are resident or from which you use the Services.
Your use of the Priyadarshini Handlooms Platform is subject to the following Terms and Conditions, which may be updated by us from time to time without notice to you. You can review the most current version of the terms and conditions at any time at: https://shop.priyadarshinihandlooms.com/terms. In addition, when using particular Priyadarshini Handlooms Platform services, you may be subject to guidelines or rules or additional terms (which may be posted from time to time) applicable to such services and which are incorporated by reference. All such guidelines or rules are hereby incorporated by reference into the Terms and Conditions. The Priyadarshini Handlooms Platform may also offer other services that are governed by different Terms of Service.
1. Eligibility
The Priyadarshini Handlooms Platform is not available to users if (a) you are at least 18 years old or of legal age to form a binding contract with Priyadarshini Handlooms entity, or (b) you are not permitted to use any Services under the laws of Republic of India or other countries / regions including the country / region in which you are resident or from which you use the Services and (c) to any users previously suspended or removed from the Priyadarshini Handlooms Platform by Priyadarshini Handlooms entity.
BY ACCESSING, BROWSING, DOWNLOADING, UPLOADING, BUYING, SELLING, OR OTHERWISE USING THE Priyadarshini Handlooms PLATFORM, YOU REPRESENT THAT YOU ARE OF THE REQUIRED LEGAL AGE AND ARE PERMITTED BY THE COUNTRY/REGIONAL/LOCAL LAW APPLICABLE AND HAVE NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED FROM THE Priyadarshini Handlooms PLATFORM.
2. Individual Features and Services
When using the Priyadarshini Handlooms Platform, You will be subject to any additional posted guidelines or rules applicable to specific services and features which may be posted from time to time (the "Guidelines"). All such Guidelines are hereby incorporated by reference into these Terms.
3. Modification of these Terms
Priyadarshini Handlooms reserves the right, at our discretion, to change, modify, amend, add, or remove portions of these Terms at any time. Please check these Terms and any Guidelines periodically for changes. Your continued use of the Priyadarshini Handlooms Platform after the posting of changes constitutes Your binding acceptance of such changes. For any material changes to these Terms, such amended terms will automatically be effective thirty days after they are initially posted on the Priyadarshini Handlooms Platform. We will always make a reasonable effort to notify You if we do change these Terms.
4. Priyadarshini Handlooms Platform License Grant
4.1. License Grant to Upload
Subject to Your compliance with the terms and conditions set out in this Terms of Use, Priyadarshini Handlooms hereby grants to You a personal, limited, non-exclusive, non-transferable, freely revocable license to use the Priyadarshini Handlooms Platform for Producer organization organizations, businesses and individuals alike including uploading content and downloading content available on the website. Users can upload content to the Priyadarshini Handlooms Platform including but not limited to details of the Producer organizations, the product and service offered for sale, prices and related information and is hereinafter referred to as “User Content”. User Content is uploaded at Your own risk. Notwithstanding any obligations hereunder of Priyadarshini Handlooms to protect User Content with security measures, Priyadarshini Handlooms cannot guarantee that there will be no unauthorized copying, distribution or corruption of User Content nor will Priyadarshini Handlooms be liable for any copying, usage or corruption of the User Content not authorized by Priyadarshini Handlooms.
4.2. License Grant to Download
Subject to Your compliance with the terms and conditions set out in this Terms of Use, Priyadarshini Handlooms hereby grants to You a personal, limited, non-exclusive, non-transferable, freely revocable license to view and download User Content solely through the Priyadarshini Handlooms Platform subject to the license under which such User Content is distributed.
4.2. License Grant to Co-operatives to e-listing Products and Services
Subject to Your compliance with the terms and conditions set out in this Terms of Use, Priyadarshini Handlooms hereby grants to You a personal, limited, non-exclusive, non-transferable, freely revocable license to list your Products and Services for Sale through the Priyadarshini Handlooms Platform.
a) Such a listing can include commercially reasonable information related to the products which are subject matter of your business such as description of the offered Products and Services and their availability, prices of the offered Products and Services and any other such information like product specifications that are relevant in helping the purchaser in deciding to buy the offered Products and Services.
b) You may also additionally list your own terms and conditions over and above those imposed by Priyadarshini Handlooms while offering to sell Your Products and services such as price of the product, geographical area for delivery of the purchased products and mode of payment. These additional terms constitute an agreement between Yourself and the Buyers of the Products and Services offered by You and Priyadarshini Handlooms is not bound by the Terms and Conditions listed by you on the Priyadarshini Handlooms Platform and shall in no way release Yourself and the Buyers of the Products and Services offered by You from any of the obligations, restrictions and in general all the sections set forth in this Terms and Conditions document.
c) Notwithstanding any obligations hereunder of Priyadarshini Handlooms under the provisions of this Terms and Conditions document, Priyadarshini Handlooms shall not be liable for the successful completion of the purchase of the Products and Services offered by you by the Buyers including but not limited to full payment, delivery indicated order in the Priyadarshini Handlooms Platform and it is Your sole and complete responsibility for ensuring the successful completion of the purchase of the Products and Services offered by you by the Buyers including but not limited to full payment, taking the delivery at the time and location indicated at the time of placing the purchase order in the Priyadarshini Handlooms Platform.
4.3. License Grant to Buyers to buy Products and Services
Subject to Your compliance with the terms and conditions set out in this Terms of Use, Priyadarshini Handlooms hereby grants to You a personal, limited, non-exclusive, non-transferable, freely revocable license to browse the information related to the Products and Services offered to sale on the Priyadarshini Handlooms platform by Producer organization, buy these Products and Services and enter the purchase related information such as the purchased quantity, mode of payment and delivery, location and time of delivery and other such related information.
a) Notwithstanding any obligations hereunder of Priyadarshini Handlooms under the provisions of this Terms and Conditions document, Priyadarshini Handlooms shall not be liable for accuracy and completeness of information provided by the Producer organization including but not limited to information related to Products and Services offered for sale by Producer organization on the Priyadarshini Handlooms Platform including the price of these offered Products and services.
b) Notwithstanding any obligations hereunder of Priyadarshini Handlooms under the provisions of this Terms and Conditions document, Priyadarshini Handlooms shall not be liable for complete fulfillment of your purchase of the Products and Services purchased by You from the Producer organization on the Priyadarshini Handlooms Platform including by not limited to the quality and quantity of these Products and Services as promised by the Producer organization from whom You are making the said purchase, delivery at the place and time as agreed between Yourself and the Producer organization from whom You are making the said purchase. In the event of any default on the part of the Producer organization in fulfilling the terms of the sale of the Products and Services to You including but not those listed in Section 4.3.b of this document, it shall be Your sole and complete responsibility to complete fulfillment of your purchase of the Products and Services purchased by You from the Producer organization on the Priyadarshini Handlooms Platform including by not limited to the quality and quantity of these Products and Services as promised by the Producer organization from whom You are making the said purchase, delivery at the place and time as agreed between Yourself and the the Producer organization from whom You are making the said purchase.
d) You may also track the delivery status of the purchased Products and services subject to the availability of such functionality on the Priyadarshini Handlooms Platform.
e) Unless mutually agreed between Yourself and the Producer organization and allowed by the Priyadarshini Handlooms Platform, You are not allowed to cancel the confirmed purchase of Products and services offered on the Priyadarshini Handlooms Platform.
f) Priyadarshini Handlooms does not recommend, endorse or certify any of the Producer organization registered on the Priyadarshini Handlooms Platform nor any of the Products and Services offered for sale by the Producer organization on the Priyadarshini Handlooms Platform unless they have been explicitly approved by Priyadarshini Handlooms on the Priyadarshini Handlooms Platform.
4.4. Reservation of Rights
Priyadarshini Handlooms reserves all rights not expressly granted in this Terms of Use.
4.5. Prevention of Unauthorized Use
Priyadarshini Handlooms reserves the right to exercise whatever lawful means it deems necessary to prevent unauthorized use of the Priyadarshini Handlooms Platform, including, but not limited to, technological barriers, IP mapping, and directly contacting Your Internet Service Provider (ISP) regarding such unauthorized use.
4.6. Fees; Taxes
Priyadarshini Handlooms provides various business services to the Producer organization. The Priyadarshini Handlooms Global Directory is free of charge for Producer organization societies to publish details of their organization.
For other business services including the marketplace, Priyadarshini Handlooms would charge transaction fees or similar service fees to the Producer organizations. Priyadarshini Handlooms reserves the right to charge a non-refundable fee for using Priyadarshini Handlooms Platform without notice in its sole discretion. You are responsible for paying any governmental taxes imposed on your use of the Priyadarshini Handlooms Platform and/or Priyadarshini Handlooms APIs, including, but not limited to, sales, service, use or value-added taxes. To the extent Priyadarshini Handlooms is obligated to collect such taxes, the applicable tax will added to any fees Priyadarshini Handlooms may charge. Any fees paid for the usage of Priyadarshini Handlooms Platform (wholly or in-part) shall be non-refundable under all circumstances including but not limited to revocation of account or non-utilization of the services of Priyadarshini Handlooms Platform.
5. User Content License Grant; Representations and Warranties
5.1. License Grant to Priyadarshini Handlooms
Unless otherwise agreed to in a separate written agreement between You and Priyadarshini Handlooms that was signed by an authorized representative of Priyadarshini Handlooms:
a) By distributing or disseminating User Content through the Priyadarshini Handlooms Platform, You hereby grant to Priyadarshini Handlooms a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free, irrevocable, license to host, transfer, display, perform, reproduce, distribute, compress or convert for distribution, and otherwise exploit Your User Content, in any media formats and through any media channels, solely in order to publish and promote such User Content in connection with services offered or to be offered by Priyadarshini Handlooms. Such license will apply to any form, media, or technology now known or hereafter developed.
b) By uploading User Content, You hereby warrant that Your User Content is free of any digital rights management, including any software designed to limit the number of times User Content may be copied or played.
c) The Users grant Priyadarshini Handlooms royalty free, irrevocable, unfettered, unconditional and unlimited rights in perpetuity, to utilize the User content for commercial purposes including but not limited to
i) Marketing the user content to thirty parties,
ii) Enrichment, modification, repackaging and other kinds of processing of User content and then marketing the result to third parties,
iii) Insertion of advertising into User content including but not limited to Co-operatives' website on the Priyadarshini Handlooms platform and orders purchased by the Purchasers
5.2. License Grant to other Priyadarshini Handlooms users
By distributing or disseminating User Content through the Priyadarshini Handlooms Platform, You hereby grant to each User that is authorized to access Your User Content a non-exclusive, irrevocable license to access and use Your User Content. Notwithstanding the foregoing, You hereby grant to each User that is authorized to access You User Content at least a limited, non-exclusive, personal and irrevocable license to view and download such User Content in the manner contemplated by these Terms and the Priyadarshini Handlooms Platform.
5.3. User Content Representations and Warranties
You are solely responsible for Your User Content and the consequences of posting or publishing them. By uploading and publishing Your User Content, You affirm, represent, and warrant that:
(1) You are the creator and owner of or have the necessary licenses, rights, consents, releases and permissions to use and to authorize Priyadarshini Handlooms and Users of Priyadarshini Handlooms to use Your User Content as necessary to exercise the licenses granted by You in this section and in the manner contemplated by Priyadarshini Handlooms and this Terms of Use;
(2) Your User Content does not and will not:
(a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right or
(b) slander, defame, or libel any other person; and
(3) Your User Content does not contain any viruses, adware, spyware, worms, or other malicious code.
Violators of these third-party rights may be subject to criminal and civil liability. Priyadarshini Handlooms reserves all rights and remedies against any Users who violate this Terms of Use.
5.4. User Content Disclaimer
You understand that when using the Priyadarshini Handlooms Platform You will be exposed to User Content from a variety of sources, and that Priyadarshini Handlooms is not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such User Content. You further understand and acknowledge that You may be exposed to User Content that are inaccurate, offensive, indecent harmful or objectionable, and You agree to waive, and hereby do waive, any legal or equitable rights or remedies You have or may have against Priyadarshini Handlooms with respect thereto. Priyadarshini Handlooms Platform does not endorse any User Content or any opinion, recommendation, or advice expressed therein including but not limited to the Products and Services offered for sale by the Producer organization on the Priyadarshini Handlooms Platform and its purchase by the Buyers, and Priyadarshini Handlooms expressly disclaims any and all liability in connection with User Content including but not limited to the Products and Services offered for sale by the Producer organization on the Priyadarshini Handlooms Platform and its purchase by the Buyers. If notified by a User or a content owner of User Content that allegedly does not conform to this Terms of Use, Priyadarshini Handlooms may investigate the allegation and determine in its sole discretion whether to remove the User Content, which it reserves the right to do at any time and without notice. For clarity, Priyadarshini Handlooms does not permit copyright infringing activities on the Priyadarshini Handlooms Platform.
6. Prohibited Conduct
BY USING THE Priyadarshini Handlooms PLATFORM YOU AGREE NOT TO:
6.1. Use the Priyadarshini Handlooms Platform for any purposes other than to offer products and services for sale, provide information related to the said products and services including but not limited to product description, prices, terms and conditions for delivery and mode of payment, browsing User Content and to buy the said products and services by placing an order and specifying mode, time and location of delivery and mode of payment and/or to access the Priyadarshini Handlooms Platform as such services are offered by Priyadarshini Handlooms;
6.2. Rent, lease, loan, sell, resell, sublicense, distribute or otherwise transfer the licenses granted herein or any Materials (as defined in section 10, below);
6.3. Post, upload, or distribute any defamatory, libelous, inappropriate, irrelevant or inaccurate User Content or other content;
6.4. Post, upload, or distribute any User Content or other content that is unlawful or that a reasonable person could deem to be objectionable, offensive, indecent, pornographic, invasive of another’s privacy, harassing, threatening, embarrassing, distressing, vulgar, hateful, racially or ethnically offensive, or otherwise inappropriate;
6.5. Impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the Priyadarshini Handlooms Platform accounts of others without permission, forge another persons' digital signature, misrepresent the source, identity, or content of information transmitted via the Priyadarshini Handlooms Platform, or perform any other similar fraudulent activity;
6.6. Delete the copyright or other proprietary rights on the Priyadarshini Handlooms Platform or User Content;
6.7. Make unsolicited offers, advertisements, proposals, or send junk mail or spam to other Users of the Priyadarshini Handlooms Platform. This includes, but is not limited to, unsolicited advertising, promotional materials, or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures;
6.8. use the Priyadarshini Handlooms Platform for any illegal purpose, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, data protection and privacy, offering products for sale that are prohibited by law and offering for sale products that are prohibited to be sold to Buyers who are below 18 years of age or as described in the Eligibility clause 1 of this agreement;
6.9. Defame, harass, abuse, threaten or defraud Users of the Priyadarshini Handlooms Platform, or collect, or attempt to collect, personal information about Users or third parties without their consent;
6.10. Use the Priyadarshini Handlooms Platform if You are under the age of eighteen (18) years oldor as described in the Eligibility section 1 of this agreement;
6.11. Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Priyadarshini Handlooms Platform or User Content, features that prevent or restrict use or copying of any content accessible through the Priyadarshini Handlooms Platform, or features that enforce limitations on the use of the Priyadarshini Handlooms Platform or User Content;
6.12. Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Priyadarshini Handlooms Platform or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
6.13. Modify, adapt, translate or create derivative works based upon the Priyadarshini Handlooms Platform or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
6.14. Intentionally interfere with or damage operation of the Priyadarshini Handlooms Platform or any user's enjoyment of them, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code;
6.15. Relay email from a third party’s mail servers without the permission of that third party;
6.16. Use any robot, spider, scraper, or other automated means to access the Priyadarshini Handlooms Platform for any purpose or bypass any measures Priyadarshini Handlooms may use to prevent or restrict access to the Priyadarshini Handlooms Platform;
6.17. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content transmitted through the Priyadarshini Handlooms Platform;
6.18. Interfere with or disrupt the Priyadarshini Handlooms Platform or servers or networks connected to the Priyadarshini Handlooms Platform, or disobey any requirements, procedures, policies or regulations of networks connected to the Priyadarshini Handlooms Platform; or
6.19. Post, upload or distribute marketing material for products and services other than those that are offered for sale via Priyadarshini Handlooms platform, advertisements, spam, content designed to aid search engine optimization, content in HTML format with links or redirects, or other commercial content that detracts from the Priyadarshini Handlooms.com experience.
7. Account
When You use the Priyadarshini Handlooms Platform to upload and/or download content or any products, services, or information from Priyadarshini Handlooms, You may be asked to provide a password. You are solely responsible for maintaining the confidentiality of Your account and password and for restricting access to Your computer, and You agree to accept responsibility for all activities that occur under Your account or password. You agree that the information You provide to Priyadarshini Handlooms on registration and at all other times will be true, accurate, current, and complete. You also agree that You will ensure that this information is kept accurate and up-to-date at all times. If You have reason to believe that Your account is no longer secure (e.g., in the event of a loss, theft or unauthorized disclosure or use of Your account ID, password, or any credit, debit or charge card number, if applicable), then You agree to immediately notify Priyadarshini Handlooms. You may be liable for the losses incurred by Priyadarshini Handlooms or others due to any unauthorized use of Your Priyadarshini Handlooms Platform account.
8. Third-Party Sites, Products and Services; Links
The Priyadarshini Handlooms Platform may include links or references to other web sites or services solely as a convenience to Users ("Reference Sites"). Priyadarshini Handlooms does not endorse any such Reference Sites or the information, materials, products, or services contained on or accessible through Reference Sites. In addition, Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Priyadarshini Handlooms Platform are solely between You and such advertiser. Access and use of Reference Sites, including the information, materials, products, and services on or available through Reference Sites is solely at Your own risk.
9. Termination; Terms of Use Violations
9.1. Priyadarshini Handlooms
You agree that Priyadarshini Handlooms, in its sole discretion, for any or no reason, and without penalty, may terminate any account (or any part thereof) You may have with Priyadarshini Handlooms or Your use of the Priyadarshini Handlooms Platform and remove and discard all or any part of Your account, User profile, and any User Content, at any time. Priyadarshini Handlooms may also in its sole discretion and at any time discontinue providing access to the Priyadarshini Handlooms Platform, or any part thereof, with or without notice. You agree that any termination of Your access to the Priyadarshini Handlooms Platform or any account You may have or portion thereof may be effected without prior notice, and You agree that Priyadarshini Handlooms will not be liable to You or any third party for any such termination. Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies Priyadarshini Handlooms may have at law or in equity. As discussed herein, Priyadarshini Handlooms does not permit copyright infringing activities on the Priyadarshini Handlooms Platform, and will terminate access to the Priyadarshini Handlooms Platform, and remove all User Content or other content submitted by any Users who are found to be repeat infringers. Priyadarshini Handlooms also reserves the right to terminate Your use of the Priyadarshini Handlooms Platform and remove all User Content including pending purchase orders submitted or received, or other content submitted by You in case You are found to be defaulting on delivery of purchase orders for Products and Services offered by you or on payment against the products and services delivered against purchase orders placed by You on the Priyadarshini Handlooms Platform. The decision of Priyadarshini Handlooms on the occurrence of such a default shall be final and binding on You.
9.2. You
Your only remedy with respect to any dissatisfaction with (i) the Priyadarshini Handlooms Platform, (ii) any term of this Terms of Use, (iii) any policy or practice of Priyadarshini Handlooms in operating the Priyadarshini Handlooms Platform, (iv) any content or information transmitted through the Priyadarshini Handlooms Platform, (v) quality and prices of Products and Services offered for sale by Producer organization using the Priyadarshini Handlooms Platform, is to terminate this Terms of Use and Your account. You may terminate this Terms of Use at any time by discontinuing use of any and all parts of the Priyadarshini Handlooms Platform.
10. Ownership; Proprietary Rights
